When we mention “The Wellbeing Project”, “Editor”, “we”, “us” or “our” in this Agreement, we are referring to The Wellbeing Project.
When we mention “Contributor”, “(s)he” or “volunteer writer” in this Agreement, we are referring to the party contributing articles and other written materials on a volunteer basis.
When we mention “Work”, we are referring to the contribution of an original article, or written content, photos, videos or other digital content.
The parties expressly agree and acknowledge that the relationship is of volunteer nature.
In this framework, the Contributor grants to The Wellbeing Project a non-exclusive, worldwide, irrevocable, royalty-free license, valid for the duration of the copyright, to use, reproduce, make available to the public, and display the Work on its websites, social media pages, applications, blogs, newsletters, brochures and on any other medium chosen by The Wellbeing Project (hereafter “the Medium”).
The Wellbeing Project is a not-for-profit open-source project that applies the Creative Commons licence to all written material, findings and learnings. Through this Agreement the Contributor agrees that The Wellbeing Project is entitled to relicense their Work, free of charge, under the Creative Commons licence.
The Wellbeing Project may revise, edit, condense and/or alter the Work in order to publish across different platforms but all major changes would be made with the Contributor’s permission.
• Right to use the Contributor’s image or video
In case the Work is made of image or videos in which the Contributor’s image appears, the Contributor expressly authorizes The Wellbeing Project to use its names, surnames, and its image for the purpose of displaying the Work on the Medium, through any mode of communication. The present authorization is granted for the whole world, and for a duration of [15 years]. It is granted free of charge and without consideration, the Work being the result of a volunteer work.
• Warranties and Indemnification
(a) Contributor represents and warrants that:
(i) the Contributor is the sole author of the Work and that (s)he is the legal proprietor of all rights therein hereby granted and has the full power to enter into this Agreement and to grant the rights granted herein,
(ii) the Work has not heretofore been published,
(iii) the Work is original, and not in the public domain,
(iv) the Work is free of any lien, claim or debt of any kind, and that, as submitted, the Work will not violate any right of third parties (including intellectual property rights, whether registered or not and right of privacy).
(v) there is no material in the Work that is libelous, obscene or that infringes applicable laws or regulations, that plagiarizes or pirates any other work or infringes on any copyright, trademark or other proprietary right,
(vi) in order to perform its obligations hereunder, the Contributor does not owe any fees to any Contributor agent or other third party with respect to the Work, and there are no other obligations owed by the Contributor to any third party with respect to the Work, and
(vii) any recipe, formula or instruction contained in the Work is not injurious to the user or others.
(b) The Contributor shall indemnify the Editor and any other person to whom the Editor or its licensees may extend their rights hereunder from and against any loss, expense or damage, including any reasonable out of house attorney’s fees, occasioned by any claim, demand, suit, or recovery arising out of or relating to the breach or alleged breach of any of the representations or warranties made by the Contributor under this Agreement, but shall not be liable for any matter inserted in the Work by Editor or its licensees.
(c) Submission of the Work does not guarantee publication and it shall be the decision of the Editors as to final inclusion without penalty.
All representations and warranties made by the Contributor and all of Contributor’s indemnification obligations herein shall survive the termination of this Agreement.
